Terms of Service

1. Acceptance of Terms

By accessing or using the keyes.ai platform operated by Keyes AI, Inc. (“Keyes AI,” “we,” “us,” or “our”), including the keyes.ai website, GitDB, Memory, Vector, APIs, and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. The Service

keyes.ai provides three core products:

  • GitDB — a code-native database for AI agents, providing AST-aware retrieval, MCP tools, and A2A swarm orchestration.
  • Memory — long-term memory for AI agents with auto-embedding, lossless recall, and UQL query language.
  • Vector — full-fidelity vector search with 100% recall cosine similarity up to 3072 dimensions.

These products are available individually or as a unified platform through cloud or self-hosted enterprise deployments.

3. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Your account

  • You are responsible for maintaining the security of your account credentials and API keys.
  • You are responsible for all activity under your account, including actions taken by AI agents using your API keys.
  • You must not share API keys or credentials beyond your authorized team. Use scoped, per-agent keys where possible.
  • You must notify us immediately of any unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. Your content

5.1 Ownership

You retain all rights to the content you upload to or create through the Service (“Your Content”), including source code stored in GitDB, memories stored in Memory, and vectors stored in Vector. We do not claim ownership of Your Content.

5.2 License to us

You grant us a limited license to host, store, process, transmit, and reproduce Your Content solely as necessary to provide the Service. For Memory, this includes generating embeddings from your text input. This license ends when you delete Your Content or close your account.

5.3 What we will not do

  • We will not sell Your Content to third parties.
  • We will not use your private source code, memories, or vectors to train machine learning or AI models.
  • We will not access Your Content except as necessary to provide the Service, respond to support requests, or comply with legal obligations.
  • We will not share Your Content across tenant boundaries. Each customer’s data is logically isolated at the engine level.

5.4 Embeddings

When you use the Memory service, we generate vector embeddings from the text you submit. These embeddings are created solely for your use and stored within your tenant. We do not use your embeddings to improve models, train systems, or serve other customers. If you bring your own embeddings via the Vector service, we store them as-is without further processing.

6. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Infringe the intellectual property rights of others.
  • Upload or transmit malware, viruses, or malicious code.
  • Store content that violates third-party rights or applicable law.
  • Attempt to gain unauthorized access to the Service, other accounts, or underlying infrastructure.
  • Interfere with or disrupt the Service, including circumventing rate limits or quotas.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute the Service without our written permission.
  • Conduct vulnerability scanning or penetration testing without prior written authorization.

7. AI agent usage

The Service is designed to be used by both humans and AI agents. You are responsible for all actions taken by AI agents operating with your credentials or API keys, including data reads, writes, code commits, and API calls. You must ensure that your agents comply with these Terms, your organization’s policies, and applicable laws. We recommend using scoped API keys with minimum necessary permissions for each agent.

8. API usage and rate limits

  • Each plan includes defined usage limits (operations per month, storage, agent seats) as described on our pricing page.
  • We enforce rate limits to protect service quality for all customers.
  • If you exceed plan limits, we may throttle your requests or contact you to upgrade. We will not charge overage fees without prior notice.
  • Programmatic abuse of the API (e.g., automated account creation, credential stuffing) is prohibited.

9. Payment and billing

  • Free tier: Available at no cost with the limits described on our pricing page.
  • Paid plans: Billed monthly. You authorize us to charge your payment method on each billing cycle.
  • Pay-as-you-go (Vector): Metered usage above your plan minimum is billed monthly in arrears.
  • Credits: Paid plans include monthly credits usable on any keyes.ai product. Credits reset monthly and cannot be carried over.
  • Upgrades and downgrades: Take effect immediately. Downgrades are prorated to the day.
  • Cancellation: You may cancel at any time. You retain access until the end of the current billing period. No refunds for partial months.

10. Service availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. For paid plans with an SLA, the specific uptime commitments and remedies are described in the applicable Service Level Agreement.

11. Data protection and security

  • We encrypt all data in transit (TLS 1.2+) and at rest (AES-256).
  • We maintain per-tenant access controls and audit logging for all operations.
  • API authentication uses scoped API keys with configurable permissions.
  • In the event of a data breach affecting your data, we will notify you within 72 hours of becoming aware of the breach.

12. Intellectual property

The Service, including its design, features, APIs, documentation, and underlying technology, is the property of Keyes AI and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features without prior written consent.

13. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE SPECIFIC RECALL ACCURACY, LATENCY, OR THROUGHPUT EXCEPT AS DESCRIBED IN A SIGNED SERVICE LEVEL AGREEMENT.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYES AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

15. Indemnification

You agree to indemnify, defend, and hold harmless Keyes AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

16. Termination

  • You may close your account at any time through your account settings or by contacting us.
  • We may suspend or terminate your access if you violate these Terms, with notice where practicable.
  • Upon termination, your right to use the Service ceases immediately.
  • You may export Your Content before termination via the API.
  • We will delete Your Content within 90 days of account closure, except where retention is required by law.

17. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

18. Changes to these Terms

We may modify these Terms at any time. We will provide at least 30 days’ notice of material changes by posting on the Service or emailing you. Your continued use after the effective date of revised Terms constitutes acceptance. If you do not agree with the changes, you must stop using the Service.

19. General

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Keyes AI regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
